Acceptance of terms
By accessing or using the RxRouter platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.
Description of service
RxRouter provides multi-tenant telehealth infrastructure including provider management, clinical workflow tools, patient intake processing, and prescription routing capabilities to licensed healthcare providers and their clinics.
Not medical advice
RxRouter is a technology platform. Nothing on the Platform constitutes medical advice, diagnosis, or treatment. All prescribing determinations are made by licensed healthcare providers. Patients should seek advice from their own providers for medical questions.
User eligibility and accounts
Users must be at least 18 years old and legally able to enter into contracts. Provider accounts must belong to licensed practitioners authorized to prescribe in the jurisdictions where they provide care. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Regulatory compliance
Users must comply with all applicable federal, state, and local laws and regulations governing telehealth, prescribing, healthcare operations, HIPAA, and patient privacy. Unauthorized access, misuse of patient data, or violation of applicable regulations may result in immediate account termination and reporting to relevant authorities.
Acceptable use
You agree not to (a) reverse-engineer or attempt to extract source code from the Platform, (b) use the Platform to send unsolicited communications, (c) interfere with the integrity or performance of the Platform, or (d) use the Platform in a way that violates applicable law or the rights of others.
Payment and fees
Fees are described on our pricing page and in applicable order forms or agreements. Fees are payable in advance; past-due amounts may be subject to suspension.
Intellectual property
RxRouter retains all right, title, and interest in and to the Platform. Tenants retain ownership of content they submit to the Platform subject to the license granted to RxRouter to operate the service.
Disclaimers and limitation of liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RXROUTER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO RXROUTER IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Termination
Either party may terminate the agreement for material breach if the breach is not cured within 30 days of written notice. RxRouter may suspend accounts immediately for violations that create security, legal, or compliance risk.
Changes to these terms
RxRouter may update these Terms from time to time. Material changes will be announced via email and in-product notification at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
